Terms of Service

Welcome to Impactra. These Terms of Service ("Terms") govern your access to and use of the Impactra platform, including our website, applications, and services ("Services").

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Impactra provides a cloud-based enterprise resource planning (ERP) platform designed for nonprofit organizations. Our Services include fund accounting, donor management, program management, grant tracking, and analytics tools.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. Subscription and Fees

4.1 Pricing

Access to certain features requires a paid subscription. Current pricing is available on our website or from our sales team. We reserve the right to modify pricing with 30 days' notice.

4.2 Payment

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by law.

4.3 Taxes

You are responsible for all applicable taxes, except those based on our net income. If we are required to collect taxes, they will be added to your invoice.

5. Your Data

5.1 Ownership

You retain all rights to the data you upload, create, or process through our Services ("Your Data"). You grant us a limited license to use Your Data solely to provide and improve the Services.

5.2 Data Protection

We implement appropriate technical and organizational measures to protect Your Data. For organizations processing Protected Health Information (PHI), additional terms in our Business Associate Agreement apply.

5.3 Data Export

You may export Your Data at any time using our built-in export tools. Upon termination of your subscription, you will have 30 days to export Your Data before it is deleted.

6. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Upload malicious code or content
• Resell or redistribute the Services without authorization
• Use the Services to store or transmit content that infringes third-party rights
• Circumvent usage limits or restrictions

7. Intellectual Property

The Services, including all software, designs, and content, are owned by Promatics Technologies Limited and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

8. Third-Party Integrations

The Services may integrate with third-party applications. Your use of such integrations is subject to their respective terms and privacy policies. We are not responsible for third-party services.

9. Service Availability

We strive for 99% uptime but do not guarantee uninterrupted access. We may suspend access for maintenance, security concerns, or legal compliance. We will provide reasonable notice when possible.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPACTRA AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES YOU PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Impactra, Promatics Technologies Limited, and their officers, directors, and employees from any claims arising from your use of the Services or violation of these Terms.

12. Termination

Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately for violation of these Terms. Upon termination, your right to use the Services ends, and we may delete Your Data after the export period.

13. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in Lagos, Nigeria, unless prohibited by law. You waive any right to participate in class actions.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use after changes constitutes acceptance.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Impactra regarding the Services.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any provision does not constitute a waiver.
• Assignment: You may not assign these Terms without our consent.
